This module will provide key knowledge and basic tools related to fundamentals aspects of EU business law that an entrepreneur must take in consideration when setting-up a company and operate within the European Union. It is designed to provide entrepreneurs with the legal context for operation of an SME within the broad legal infrastructure of the EU. It covers the main directives that impact SMEs and introduces the legal concepts essential for an understanding of the different legal vehicles that can be used as a basis for an SME operation. The module provides up-to-date information on the trends and practices in these areas with particular reference to specific case studies that provide scope for the application and interpretation of the theories and concepts covered in the module.

The module can be split into the following sessions:

  • Session 1: Harmonisation and freedom of movement
  • Session 2: Characteristics of legal entities
  • Session 3: Partnerships
  • Session 4: Companies
  • Session 5: Shares
  • Session 6: Directors
  • Session 7: Minority shareholders
  • Session 8: Voting rights
  • Session 9: Shareholder information rights
  • Session 10: The general meetings of shareholders
  • Session 11: Mergers and divisions
  • Session 12: Case law on harmonisation and freedom of movement

Learning Outcomes:

At the end of the module/unit the learner will have acquired the following skills:

  1. Apply the precepts of the subject
  2. Use the fundamentals of the subject in a practical context
  3. Use the legal frameworks and concepts as appropriate within the changing and evolving local and international business environments with particular reference to international banking and customer due diligence and anti-money laundering obligations
  4. Apply the framework systems and processes to set-up or improve internal record keeping activities at board and management level within an SME.

 

Each module will be assessed based on the following components:

  1. Quality of Contributions in Forums: 20%
    • Evaluation of participation and the quality of insights shared in online discussion forums.
  2. Quality of Contributions in Tutorials: 20%
    • Assessment of engagement and contributions during tutorial sessions.
  3. Research-Based Assignments: 60%
    • Completion and quality of research-based assignments that demonstrate understanding and application of the course material.

Passing Criteria:

  • Students must achieve an aggregate of 50% or higher across the three components to pass each module.

 

Scholarship Schemes for Maltese residents:

  • MySkills Scheme: Malta residents are eligible for up to 80% reimbursement, capped at €5,000, subject to eligibility criteria. International students would be able to apply for the MySkills Scheme once they obtain their Student Temporary Residence Card (TRC). (For individual modules only)
  • Get Qualified Scheme ( Scheme available for Maltese residents ) – 70% refund of course fee as a tax rebate
